Service Agreement
Effective Date:
1. Scope of Services
Provider: EM Revenue Recovery provides specialized consulting services in the analysis, resolution, and recovery of complex payer denials related to coding, authorization, medical necessity, and timely filing.
Services Include:
- Comprehensive analysis of outstanding unpaid accounts
- Denial management and payer communication
- Revenue cycle process review and recommendations
- Compliance review and audit support
- Recovery of eligible reimbursements
- Ongoing consulting and best practices guidance
The specific services and contract duration will be determined in writing and agreed upon by both parties prior to service commencement.
2. Contract Terms
Available Contract Durations:
- 6 months (minimum)
- 12 months
- 24 months
- 36 months
- 60 months (5 years, maximum)
The contract term will be mutually agreed upon in writing. Upon expiration, either party may elect to renew, modify, or terminate services with written notice as specified in this agreement.
3. Compensation
Fees for services will be determined based on the scope of work, contract duration, and volume of accounts to be processed. A detailed fee schedule will be provided prior to contract execution.
Any recoveries achieved by EM Revenue Recovery on behalf of Client will be subject to the fee structure agreed upon in the service agreement.
4. Confidentiality & HIPAA Compliance
Both parties agree to maintain strict confidentiality regarding all patient information, account details, and business information shared during the course of this engagement. All services will be provided in full compliance with HIPAA, state privacy laws, and other applicable regulations.
5. Termination
Either party may terminate this agreement with written notice as follows:
- For cause (material breach): 30 days written notice with opportunity to cure
- By mutual agreement: immediate upon written consent
Upon termination, outstanding deliverables will be completed, and all client information will be returned or destroyed as requested.
6. General Provisions
Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements.
Amendments: No amendments or modifications are valid unless made in writing and signed by both parties.
Governing Law: This agreement shall be governed by and construed in accordance with applicable state law.
